Your Operating Agreement also spells out how much of the LLC each member owns. You can have 1 member who owns 100%, you can have 2 members with a 50/50 split, 60/40, 70/30 (anything really!), or you can have 3 or more members and you can split the ownership any way you’d like. The LLC is a flexible business structure. There is no limit on the number of members you can have. And, there are no restrictions on how you split the ownership of the company. [=================================] -- OPERATING AGREEMENT IS AN “INTERNAL DOCUMENT” Unlike your LLC Formation Documents, the Operating Agreement does not need to be mailed anywhere. You do not need to mail it to the State. You do not need to mail it to the IRS. It is strictly an “internal document”. This means that you will just keep a copy with your other business documents. [=================================] -- PURPOSE OF THE LLC OPERATING AGREEMENT -- Again, the purpose of the Operating Agreement is to spell out who the member(s) are and what percentage of the LLC they own, also known as their “membership interest”. It also defines how the LLC is managed, how taxes are paid, and how profits and losses are distributed amongst the member(s). Remember, your LLC can be owned by one person (called a Single-Member LLC) or your LLC can be owned by 2 or more people (called a Multi-Member LLC). [=================================] -- WHAT YOU NEED FOR YOUR LLC OPERATING AGREEMENT -- In order to complete your Operating Agreement, you will need some basic information. • The formation date of your LLC. • The name and address of the Registered Office and Registered Agent. • The general business purpose of the LLC. • Member(s) percentages of ownership. • Names of the Members and their addresses. Your final Operating Agreement is not “set in stone”. You can make changes as needed. [=================================] -- MAKING CHANGES TO YOUR LLC OPERATING AGREEMENT -- One of the benefits of forming an LLC is the flexibility of managing your business. The Operating Agreement is a working document that is meant to be fluid and allow for changes as your business grows. If you want to make simple changes (such as a change of address for a member or changing your Registered Office or Registered Agent), you’ll need to revise the original Operating Agreement. If, however, you need to make complex changes (for example one member purchases the interests of another member, or you decide to raise financing with investors), it is best to hire an attorney. Making changes like these can have negative legal and tax consequences if done incorrectly. Once all changes are made, you’ll need to print the new Operating Agreement and have all of the members sign it. It is best practice to keep a copy of all versions of your Operating Agreement so you have a history of the changes that were made. Jeffrey Lipshaw is Professor of Law at the Suffolk University Law School in Boston, where he teaches contract law and courses in the business curriculum. He writes on contract theory, corporate law, and business judgment, with focus on the overlap between business and legal decision-making. He is particularly interested in the theoretical and practical implications of having been trained merely to “think like a lawyer” when confronting uncertainty and making decisions in business transactions. He is the author of Beyond Legal Reasoning: a Critique of Pure Lawyering (Routledge, 2017), and a co-author of the casebook, Unincorporated Business Entities (LexisNexis), and the ABA publication, Becoming a Law Professor. His articles have appeared in peer-reviewed journals such as Law, Culture, and the Humanities, the Canadian Journal of Law & Jurisprudence, and the Journal of Law & Religion. In addition, he has published in the Minnesota Law Review, Illinois Law Review, University of Cincinnati Law Review, Penn State Law Review, Seton Hall Law Review, Connecticut Law Review, Southern California Interdisciplinary Law Journal, Delaware Journal of Corporate Law, Temple Law Review, and other student-edited journals. Professor Lipshaw was a founding co-editor of the Legal Profession Blog, an inductee in the ABA Journal’s Blawg 100 Hall of Fame. He was also a co-editor, with William Henderson and Jerry Organ, of The Legal Whiteboard, a blog about trends, facts, and ideas in law and legal education. He is a frequent guest blogger on PrawfsBlawg. Before becoming a full-time academic in 2007, Professor Lipshaw spent twenty-six years as a lawyer and business executive, most recently serving as Senior Vice-President, General Counsel, and Secretary for Great Lakes Chemical Corporation, a Fortune 850 company based in Indianapolis, Indiana, and listed on the New York Stock Exchange. There he counseled the company’s Board of Directors in its compliance with Sarbanes-Oxley and NYSE governance requirements, led the company’s efforts in significant acquisitions and dispositions, and managed a law department with an internal and external annual budget of over $10 million. Professor Lipshaw began his career in 1979 at the law firm of Dykema Gossett in Detroit, where he was a partner in the litigation and corporate groups, and served from 1993 to 1997 as the Vice President & General Counsel of AlliedSignal Automotive, a large auto parts manufacturer. Before coming to Suffolk, he was a visiting professor at the Wake Forest and Tulane law schools. He is a 1976 graduate of the University of Michigan, and a 1979 graduate of the Stanford Law School. He lives in Cambridge, Massachusetts with his wife, Alene, and their dog, Tia.

After the Hobby Lobby and Citizens United decisions, a robust public debate has emerged over corporate constitutional rights. Prof. Huq discusses ongoing empirical research about how the Hobby Lobby case has influenced public perceptions not just of those rights, but also of the Court itself. Aziz Z. Huq teaches and conducts research in constitutional law, criminal procedure, and federal courts. A 1996 summa cum laude graduate of the University of North Carolina at Chapel Hill, he received his law degree from Columbia Law School in 2001. At Columbia, he was awarded the John Ordronaux Prize, the Emil Schlesinger Prize, and the Charles Bathgate Beck Prize. Upon graduating, he clerked for Judge Robert D. Sack of the U.S. Court of Appeals for the Second Circuit from 2001 to 2002 and then for Justice Ruth Bader Ginsburg of the Supreme Court of the United States from 2003 to 2004. UniversityDefinition The original Latin word "universitas" refers in general to "a number of persons associated into one body, a society, company, community, guild, corporation, etc."[2] At the time of the emergence of urban town life and medieval guilds, specialised "associations of students and teachers with collective legal rights usually guaranteed by charters issued by princes, prelates, or the towns in which they were located" came to be denominated by this general term. Like other guilds, they were self-regulating and determined the qualifications of their members.[3] In modern usage the word has come to mean "An institution of higher education offering tuition in mainly non-vocational subjects and typically having the power to confer degrees,"[4] with the earlier emphasis on its corporate organization considered as applying historically to Medieval universities.[5] The original Latin word referred to degree-granting institutions of learning in Western and Central Europe, where this form of legal organisation was prevalent, and from where the institution spread around the world. Academic freedom An important idea in the definition of a university is the notion of academic freedom. The first documentary evidence of this comes from early in the life of the first university. The University of Bologna adopted an academic charter, the Constitutio Habita,[6] in 1158 or 1155,[7] which guaranteed the right of a traveling scholar to unhindered passage in the interests of education. Today this is claimed as the origin of "academic freedom".[8] This is now widely recognised internationally - on 18 September 1988, 430 university rectors signed the Magna Charta Universitatum,[9] marking the 900th anniversary of Bologna's foundation. The number of universities signing the Magna Charta Universitatum continues to grow, drawing from all parts of the world. Medieval universities Main articles: Medieval university and List of medieval universities European higher education took place for hundreds of years in Christian cathedral schools or monastic schools (scholae monasticae), in which monks and nuns taught classes; evidence of these immediate forerunners of the later university at many places dates back to the 6th century.[10] The earliest universities were developed under the aegis of the Latin Church by papal bull as studia generalia and perhaps from cathedral schools. It is possible, however, that the development of cathedral schools into universities was quite rare, with the University of Paris being an exception.[11] Later they were also founded by Kings (University of Naples Federico II, Charles University in Prague, Jagiellonian University in Kraków) or municipal administrations (University of Cologne, University of Erfurt). In the early medieval period, most new universities were founded from pre-existing schools, usually when these schools were deemed to have become primarily sites of higher education. Throughout his distinguished career in academia, Appelbaum has published numerous books and articles on topics spanning homelessness and urban development, labor policy, and the economic impact of globalization. In addition to serving as the co-principal investigator at the NSF-funded Center for Nanotechnology in Society, Appelbaum oversees two major research projects investigating labor conditions and the development of high-tech industries in the Asian-Pacific Rim. James H. Davis has been with Notre Dame since 1991. He received his Ph.D. in corporate strategy from the University of Iowa, M.B.A. from Idaho State University and M.Ed. and B.A. from Brigham Young University. Since 1998, he has been the director of the Gigot Center for Entrepreneurial Studies. He teaches courses in strategic planning, change management, entrepreneurship and international management. Professor Davis was named the John F. O'Shaughnessy Chair of Family Enterprises in 2006 and the Ray and Milan Siegfried Director of Entrepreneurial Studies in 2004. In 2005, he was given the University of Notre Dame President's Award for his contributions to the University. He received the Notre Dame College of Business M.B.A. Outstanding Professor of the Year award in 1996, 1998 and 1999. He was named Outstanding Professor by Purdue University's German International School of Management Administration in 2001. He was recognized as the 2002 Inspiration Teacher of the Year for Notre Dame's executive programs. He received a Kaneb award for outstanding undergraduate teaching in 2003. In 1998, Davis launched the Gigot Center for Entrepreneurial Studies at the University of Notre Dame. In the 10 years he has served as director for the center, it was consistently ranked among the top 20 programs of the country and received the NASDAQ Center of Excellence Award. His research interests and publications are in the areas of corporate governance, strategic decision-making, trust, stewardship and social capital. His articles have appeared in many publications including the Strategic Management Journal, the Academy of Management Review, Journal of Applied Psychology, Harvard Business Review, Entrepreneurship Theory and Practice, Journal of Management Education and International Journal of Value-Based Management. The Academy of Management recently recognized his research on trust as the best theoretical research of the second decade. He has served on the editorial boards for the Academy of Management Review and Business Horizons. He now serves on the board for Journal of Venture Capital and is the deputy editor for the Journal of Trust Research. Professor Davis launched and served as the chairman of the Corporate Strategy and Governance Division of the Strategic Management Society. In that capacity he designed and facilitated international conferences and research groups for practicing managers and academics. Dr. Davis is a director on the boards of the Indiana Venture Center and serves as treasurer and chairman of the Finance Committee for the South Bend Resources and Technology Corporation Board. Professor Davis has designed and taught executive development workshops to a wide range of corporations and trade associations throughout the world. He has worked with a number of companies with strategic planning throughout the world including Continental Tire (Europe, China, India, Malaysia, Brazil), Sennheiser (Germany, North America), Koerber (Germany, China), Bayer (North America and Germany), Lanxess (North America and Germany), Far Eastern Group (Taiwan), Commodities Exchange and Government of Estonia, Cape Union Mart (South Africa) and Seminarium (Chile, Brazil, Costa Rica, Panama, Columbia, etc). This transformation was the result of a 225-year ideological debate over the proper role of government in society, including its role in economic intervention. This lecture will explain this transformation from historical, biographical, and economic perspectives, and will suggest ways to reverse this insidious transformation of American economic life and, indeed, of economic life in many other countries as well. Easterbrook, Chief Judge, U.S. Court of Appeals for the Seventh Circuit Presented by: the Center for Business Law and Regulation Summary: Dean Lindsey Cowen Business Law Lecture Judge Easterbrook will revisit issues relating to corporate law, in particular whether competition between states for corporate charters produces a race to the top of corporate law, a long-standing assumption in academic literature. Frank Easterbrook has been Chief Judge, U.S. Court of Appeals for the Seventh Circuit, since 2006. Nominated by President Ronald Reagan, he joined the court in 1985. Judge Easterbrook was a law clerk to Levin H. Campbell of the U.S. Court of Appeals for the First Circuit. He then joined the solicitor general's office, where he served first as assistant to the solicitor general and later as deputy solicitor general of the U.S. Before joining the U.S. Court of Appeals, he was Assistant Professor (1978-81) and Professor of Law (1981-85) at the University of Chicago. He was also a principal in Lexecon, an economic and financial consulting firm. Judge Easterbrook continues to teach at the University of Chicago. He received his J.D. from the University of Chicago Law School in 1973, where he was an editor of the Law Review and a member of the Order of the Coif. He attended Swarthmore College, where he received a B.A. in 1970 with high honors and was elected to Phi Beta Kappa. Judge Easterbrook is interested in antitrust law, criminal law and procedure, and other subjects involving implicit or explicit markets. He was a member of the S.E.C.'s Advisory Committee on Tender Offers in 1983 and was elected to the American Law Institute in the same year and to the American Academy of Arts and Sciences in 1992. Between 1982 and 1991 he was an editor of the Journal of Law and Economics. He has written (with Daniel R. Professor Thomas M. Jones is the Chairman of the Management and Organization Department and the Boeing Endowed Professor of Business Administration at the University of Washington in Seattle. He serves as an Academic Advisor with the Business Roundtable Institute for Corporate Ethics. His Ph.D. is from the University of California -- Berkeley in the Political, Social, and Legal Environment of Business. His research interests include stakeholder theory (including simulation models), business ethics (including ethical decision making models), corporate social performance, corporate governance, legal ethics, and shareholder litigation. He has published numerous articles in scholarly journals including the Academy of Management Review, the Academy of Management Journal, Organization Science, the Business Ethics Quarterly, the Journal of Management Studies, and the Journal of Business Ethics as well as two law reviews. He was the Connelly Endowment Visiting Scholar at Georgetown University in 1999 and is listed in Who's Who in the Management Sciences. Joe a former professional race car driver started his racing career in 1990, while still in high school. Since then he has driven and raced everything from go-karts all the way up to the NASCAR Busch/Nationwide Series. In 1998 he won Professional Sportscars Rising Star award while racing for Mazda as well as driven for Porsche, Maserati and Lamborghini in the Grand American Road Racing Series and the American Le Mans Series.

Recently I was working in a partnership in event management business, We were new in the market and we didn't have any capital to rotate in Business. We were working to start a music festival in Central India. I belong to the city named Indore. It is the business capital of India and I figured out that there is a great scope in this region for a musical festival as there is no competition in this sector. We tried to go for sponsorship for bigger companies who's products are related to youth, as musical festival is related to youth. We were unable to generate any fund out of that. I thought may be we were new to this market that is why companies were not sponsoring us. Then we went for local businessmen for sponsorships and this one also didn't worked. So finally I planned for doing something off the grid. I planned to take a loan of 20% money for the event and ask any bigger Business firm to give their names for the sponsorships for free so that other business firms would also sponsor us. Professor Thomas M. Jones is the Chairman of the Management and Organization Department and the Boeing Endowed Professor of Business Administration at the University of Washington in Seattle. He serves as an Academic Advisor with the Business Roundtable Institute for Corporate Ethics. His Ph.D. is from the University of California -- Berkeley in the Political, Social, and Legal Environment of Business. His research interests include stakeholder theory (including simulation models), business ethics (including ethical decision making models), corporate social performance, corporate governance, legal ethics, and shareholder litigation. He has published numerous articles in scholarly journals including the Academy of Management Review, the Academy of Management Journal, Organization Science, the Business Ethics Quarterly, the Journal of Management Studies, and the Journal of Business Ethics as well as two law reviews. He was the Connelly Endowment Visiting Scholar at Georgetown University in 1999 and is listed in Who's Who in the Management Sciences. He won the UW Business School Dean's Faculty Research Award in 2000 as well as the Dean's Citizenship Award in 2003.
