While FinTech is revolutionizing the banking industry and giving millions of people access to financial services for the first time, new banking models are emerging with FinTech start-ups and tech firms potentially disrupting the status quo. But business schools and universities are not preparing future bankers for these changes, says FinTech thought leader Henri Arslanian. How can designers, programmers and creative thinkers help? Henri Arslanian started his career as a financial markets and funds lawyer in Canada and Hong Kong, after which he spent many years with UBS Investment Bank in Hong Kong. In recent years, he has been teaching graduate courses on Entrepreneurship in Finance at Hong Kong University as an Adjunct Associate Professor, and currently leads the first FinTech course in Asia. His latest book on Entrepreneurship in Finance will be published in late 2016 by Palgrave Macmillan. A member of the Milken Institute’s Young Leaders Circle, Henri is a regular keynote speaker globally on the topic of FinTech and hedge funds and currently sits on a number of finance, academic, civil society and FinTech related boards and advisory boards. Henri is fluent in English, French, Armenian, Spanish and conversational in Mandarin Chinese and has been awarded many academic and industry awards over the years, including the Governor General of Canada Gold Medal for Academic Excellence. Welcome to the Investors Trading Academy talking glossary of financial terms and events. Our word of the day is “Investment Bank” An individual or institution which acts as an underwriter or agent for corporations and municipalities issuing securities. Most also maintain broker/dealer operations, maintain markets for previously issued securities, and offer advisory services to investors. Investment banks also have a large role in facilitating mergers and acquisitions, private equity placements and corporate restructuring. Unlike traditional banks, investment banks do not accept deposits from and provide loans to individuals. The advisory divisions of investment banks are paid a fee for their services, while the trading divisions experience profit or loss based on their market performance. Professionals who work for investment banks may have careers as financial advisers, traders or salespeople. An investment banker career can be very lucrative, but it typically comes with long hours and significant stress. Because investment banks have external clients but also trade their own accounts, a conflict of interest can occur if the advisory and trading divisions don’t maintain their independence. Investment banks’ clients include corporations, pension funds, other financial institutions, governments and hedge funds. Size is an asset for investment banks. The more connections the bank has within the market, the more likely it is to profit by matching buyers and sellers, especially for unique transactions. What is INVESTMENT BANK? What does INVESTMENT BANK mean? INVESTMENT BANK meaning. An investment bank is a financial institution that assists individuals, corporations, and governments in raising financial capital by underwriting or acting as the client's agent in the issuance of securities. An investment bank may also assist companies involved in mergers and acquisitions (M&A) and provide ancillary services such as market making, trading of derivatives and equity securities, and FICC services (fixed income instruments, currencies, and commodities). Unlike commercial banks and retail banks, investment banks do not take deposits. From the passage of Glass–Steagall Act in 1933 until its repeal in 1999 by the Gramm–Leach–Bliley Act, the United States maintained a separation between investment banking and commercial banks. Other industrialized countries, including G7 countries, have historically not maintained such a separation. As part of the Dodd–Frank Wall Street Reform and Consumer Protection Act of 2010 (Dodd-Frank Act of 2010), the Volcker Rule asserts full institutional separation of investment banking services from commercial banking. The two main lines of business in investment banking are called the sell side and the buy side. The "sell side" involves trading securities for cash or for other securities (e.g. facilitating transactions, market-making), or the promotion of securities (e.g. underwriting, research, etc.). The "buy side" involves the provision of advice to institutions that buy investment services. Private equity funds, mutual funds, life insurance companies, unit trusts, and hedge funds are the most common types of buy-side entities. An investment bank can also be split into private and public functions with a Chinese wall separating the two to prevent information from crossing. The private areas of the bank deal with private insider information that may not be publicly disclosed, while the public areas, such as stock analysis, deal with public information. An advisor who provides investment banking services in the United States must be a licensed broker-dealer and subject to U.S. Securities and Exchange Commission (SEC) and Financial Industry Regulatory Authority (FINRA) regulation.

We have a big bank of financial institution and they run different sections and departments. In one department we have Mergers and Acquisitions meaning they're working for a company to acquire another company doing all the legwork and due diligence stuff. They know Company X is buying Company Y. Company Y is currently trading at $50 but Company X is going to bid $80 per share so the stock price of Company Y is likely to fly when this news becomes public. In another department we have guys from the financial institution working in the Wealth Department whose job is basically to make money... So the guys working in the 'Mergers and Acquisitions' department and the guys working in the 'Wealth Department' work in the same bank but in different departments. If these wealth traders somehow find about the merger taking place (which the other department is working on) they could buy as many stock of Company Y as possible to make themselves and their clients a bit of money... Of course if this takes place it is unethical and illegal because legislation states that there should be a Chinese Wall in-between the two departments. So in finance talk, a Chinese Wall (or a Wall of China) is basically some kind of barrier erected between those who have material non-public information that can move a market and those who don't to prevent conflicts of interest.

An underwriting arrangement may be created in a number of situations including insurance, issue of securities in primary markets, and in bank lending, among others. The name derives from the Lloyd's of London insurance market. Financial bankers, who would accept some of the risk on a given venture (historically a sea voyage with associated risks of shipwreck) in exchange for a premium, would literally write their names under the risk information that was written on a Lloyd's slip created for this purpose. Once the underwriting agreement is struck, the underwriter bears the risk of being unable to sell the underlying securities, and the cost of holding them on its books until such time in the future that they may be favorably sold. If the instrument is desirable, the underwriter and the securities issuer may choose to enter into an exclusivity agreement. In exchange for a higher price paid upfront to the issuer, or other favorable terms, the issuer may agree to make the underwriter the exclusive agent for the initial sale of the securities instrument. That is, even though third-party buyers might approach the issuer directly to buy, the issuer agrees to sell exclusively through the underwriter. In summary, the securities issuer gets cash up front, access to the contacts and sales channels of the underwriter, and is insulated from the market risk of being unable to sell the securities at a good price. The underwriter gets a profit from the markup, plus possibly an exclusive sales agreement. Also if the securities are priced significantly below market price (as is often the custom), the underwriter also curries favor with powerful end customers by granting them an immediate profit (see flipping), perhaps in a quid pro quo.
